1) Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of our websites, mobile apps, and related tools and services (the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2) Who Can Use the Services

You must be at least 18, have legal capacity, and, if acting for a company, be authorized to bind that company. You are responsible for ensuring use of the Services complies with any applicable rules where you are located and with any contractual obligations you owe to third parties.

3) Our Services (High-Level Description)

PropertyGPT provides digital tools to discover, list, market, rent, buy, sell, analyze, and value properties; generate documents and reports; and access analytics and recommendations. Unless expressly stated, we are not a party to property transactions and do not provide legal, tax, investment, or brokerage services.

4) Accounts and Security

Registration: Provide accurate, current, and complete information and keep it updated.
Credentials: You’re responsible for safeguarding your login details and for all activity under your account. Notify us immediately of any suspected compromise.
Verification: We may require identity checks (e.g., KYC), proof of authority for corporate users, or property ownership/mandate verification before enabling certain features.
Multiple roles: If you act as a developer, broker/agent, landlord, property manager, or corporate user, you represent you have all necessary licenses and consents.

5) Listings, Content and Conduct

a) Your Content

“User Content” includes listings, photos, floor plans, descriptions, documents, messages, feedback, and any data you upload or generate through the Services.

You grant PropertyGPT a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, use, reproduce, display, adapt, and distribute User Content for operating, improving, promoting, and providing the Services (including syndication to partners you select). You retain ownership of your content.

You represent and warrant that you have all rights to submit User Content and that it is accurate, lawful, and does not infringe rights of others (including IP, privacy, publicity, and property rights).

b) Prohibited Conduct

You agree not to:

Upload false, deceptive, or incomplete information;
Scrape, spider, or harvest data except via approved APIs;
Circumvent security or access controls;
Reverse engineer or interfere with the Services;
Upload malware or engage in fraud, spam, or harassment;
Misuse personal data obtained through the Services;
Violate third-party rights or applicable rules related to real estate marketing, agency, tenancy, or ownership.

6) Valuations, Estimates and Informational Tools

Price estimates, risk scores, valuation bands, and recommendations are for informational purposes only and are not appraisals or advice. Models may use automated decision making and have limitations. You should obtain independent professional advice before making decisions.

7) Third-party Services and Integrations

The Services may link to third-party tools (e.g., payments, identity verification, document signing, messaging, mapping, credit/affordability checks, property data providers). Your use of such tools may be subject to their terms and privacy notices. We are not responsible for third-party services we do not control.

8) Fees, Payments and Refunds

Fees: We may charge subscription, listing, marketing, lead, or transaction-related fees as shown at checkout or in an order form/SaaS agreement.
Payments: Handled by approved payment providers. You authorize us and our providers to charge your selected payment method for due amounts and applicable taxes.
Refunds: Unless required otherwise, fees are non-refundable once the billing period or service delivery has begun. Any promotional credits expire as stated.
Invoices: For enterprise customers, payment terms are as agreed in the order form.

9) Compliance Screening and Lawful Use

We may conduct identity, sanctions, AML, fraud, and risk checks and may decline, suspend, or terminate access if required or if we reasonably suspect unlawful or high-risk activity. You agree to provide information needed to satisfy these checks.

10) Data Protection and Privacy

We handle personal data as described in our Privacy Policy, which forms part of these Terms. You agree not to misuse personal data accessed through the Services and to implement appropriate security measures when exporting or processing such data outside the Services.

11) Intellectual Property

The Services, including software, models, interfaces, trademarks, logos, and content we provide (collectively, “PropertyGPT Materials”), are owned by us or our licensors and protected by intellectual property laws. Except for the limited rights granted in these Terms, no licenses are granted by implication or otherwise. Do not remove or alter proprietary notices.

12) Feedback

If you submit feedback, ideas, or suggestions, you grant us a perpetual, worldwide, irrevocable, transferable, sublicensable, royalty-free license to use it without restriction.

13) Beta features and AI outputs

We may offer beta or experimental features that may change or be withdrawn. You understand such features may be less reliable. AI-generated outputs can be fallible; you are responsible for verifying critical facts before relying on them.

14) Service availability and Changes

We may change, suspend, or discontinue features at any time. We strive for high availability but do not guarantee uninterrupted operation. Planned maintenance or emergencies may affect access.

15) Term, Suspension and Termination

These Terms apply from your first use until terminated. You may stop using the Services at any time. We may suspend or terminate your access with or without notice if you breach these Terms, create risk or legal exposure, fail verification, or for non-payment. Upon termination, licenses you granted survive as necessary for legitimate archival and legal purposes, and Sections that by nature should survive (e.g., IP, disclaimers, liability limits, indemnities) will survive.

16) Warranties and Disclaimers

To the maximum extent permitted, the Services and all content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or availability. We do not warrant that listings are accurate or that transactions will complete.

17) Limitation of Liability

To the maximum extent permitted:

We shall not be liable for indirect, incidental, special, punitive, or consequential damages; lost profits; loss of goodwill; loss of data; or business interruption; and
Our aggregate liability for all claims relating to the Services in any 12-month period is limited to the greater of (i) the total fees you paid to us for the Services giving rise to the claim during that period, or (ii) USD 1,000. Nothing in these Terms limits liability that cannot be limited by applicable rules (e.g., for death or personal injury caused by negligence or for fraud).

18) Indemnity

You agree to defend, indemnify, and hold PropertyGPT, its affiliates, and personnel harmless from and against claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your User Content; (c) your breach of these Terms; (d) your violation of third-party rights; or (e) your property-related activities.

19) Property Rules, Permits and Licensing

You are solely responsible for ensuring that any marketing, leasing, sale, or management activity you conduct through the Services complies with applicable rules, permits, and professional licensing requirements, including any disclosures or approvals required by developers, owners’ associations, or building management.

20) Communications and Notices

By creating an account, you consent to receive service communications (e.g., security alerts, transactional messages). Marketing communications are subject to your preferences and can be opted out at any time. Formal notices to us must be sent to legal@propertygpt.com and to you via your account email.

21) Electronic Signatures and Records

The Services may enable electronic signatures and document storage through third-party providers. You agree that such electronic signatures and records are legally binding to the extent permitted and that you will maintain your own copies of important documents.

22) Export Controls and Sanctions

You represent that you are not subject to trade sanctions that would prohibit your use of the Services and will not use the Services in restricted jurisdictions or for prohibited end-uses.

23) Governing law and Dispute Resolution

These Terms and any dispute or claim shall be governed by the laws of the Dubai International Financial Centre. The DIFC Courts shall have exclusive jurisdiction.

24) Changes to the Terms

We may update these Terms from time to time. We will post the updated version with the new effective date, and where required, provide additional notice. Continued use after changes take effect constitutes acceptance.

25) Miscellaneous

Entire agreement: These Terms, any order forms, and the Privacy Policy are the entire agreement between you and us regarding the Services.
Order of precedence: If there is a conflict, an executed order form/SaaS agreement prevails over these Terms, which prevail over site FAQs/marketing pages.
Assignment: You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a reorganization, merger, or sale.
Severability: If any provision is held invalid, the remainder remains in effect.
No waiver: Failure to enforce a provision is not a waiver.
Force majeure: We are not liable for delays or failures due to events beyond our reasonable control (e.g., outages, strikes, acts of God, regulatory actions).
No agency: These Terms do not create a partnership, joint venture, or employment relationship.
Headings: For convenience only and do not affect interpretation.
Language: The controlling language of these Terms is English. Translations are provided for convenience.
